AMONG OTHER THINGS, THE SERVICES ENABLE COORDINATION AND COMMUNICATION WITH INDEPENDENT, LICENSED HEALTHCARE PROVIDERS THROUGH THIRD-PARTY TELEHEALTH PARTNERS. THE SERVICES DO NOT REPLACE YOUR RELATIONSHIP WITH ANY PHYSICIAN AND MAY NOT BE APPROPRIATE FOR ALL MEDICAL CONDITIONS. IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY. DO NOT USE THE SERVICES FOR EMERGENCY OR CRISIS CARE.
THESE TERMS CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE THAT DISPUTES BETWEEN US BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT BY A LAWSUIT OR A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. PLEASE SEE SECTIONS 16, 17, AND 19 FOR MORE INFORMATION, INCLUDING HOW TO OPT OUT OF ARBITRATION.
1. Acceptance of These Terms
These Terms and Conditions ("Terms") are a legally binding agreement between you and Corivo, LLC ("Corivo," "we," "us," or "our") governing your access to and use of our websites (including www.corivohealth.com), mobile applications, membership program, and related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services. Additional or supplemental terms may apply to specific features, and you agree to be bound by them when presented.
2. What Corivo Is (and Is Not)
Corivo is a consumer membership program for medically guided weight care. For a flat monthly membership fee, Corivo (a) connects members with licensed, independent healthcare providers through contracted third-party telehealth organizations ("Telehealth Partners") who evaluate whether prescription treatment, such as GLP-1 medication, is clinically appropriate for the member, and (b) provides every member with ongoing, non-clinical health coaching delivered through our partner Concorde Health ("Concorde").
Corivo is a marketing and administrative platform only. Corivo does not practice medicine, does not provide medical or pharmacy services, does not employ or control the healthcare providers who deliver your care, and does not exercise any control over the professional judgment of any provider. All medical services are provided exclusively by licensed, independent healthcare providers through the Telehealth Partners. Your provider-patient relationship, if any, is with those providers and not with Corivo. Corivo's role is limited to marketing, membership administration, technology, scheduling and payment coordination, and delivery of the non-clinical coaching benefit.
PAYMENT OF A MEMBERSHIP FEE DOES NOT GUARANTEE THAT YOU WILL RECEIVE A PRESCRIPTION OR ANY PARTICULAR TREATMENT. WHETHER ANY MEDICATION OR TREATMENT IS APPROPRIATE FOR YOU IS DETERMINED SOLELY BY A LICENSED PROVIDER IN THE EXERCISE OF INDEPENDENT PROFESSIONAL JUDGMENT.
3. Eligibility and Availability
The Services are available only to individuals who are 18 years of age or older and located in the United States. By using the Services, you represent and warrant that (a) you are at least 18 years old; (b) you are located in a U.S. state in which the Services are offered; (c) any information you provide is truthful, accurate, and complete, and you will keep it up to date; and (d) you agree to be bound by these Terms. Satisfying these requirements does not guarantee that you will receive Services or treatment. To use the Services you must have a compatible device, internet access, and any required software; associated carrier and data fees are your responsibility. We make no representation that the Services are appropriate or available outside the United States.
4. Telehealth Services
Telehealth involves the delivery of healthcare services using electronic communications between a provider and a patient who are not in the same physical location, and may include asynchronous (store-and-forward) review of the information you submit, as well as audio, video, or messaging interactions where offered or required by law. Depending on your state and the Telehealth Partner serving it, your consultation may be conducted entirely asynchronously, meaning a licensed provider reviews your intake information and communicates with you through the platform without a live visit.
Before receiving telehealth services, you will be asked to review and agree to a telehealth informed consent provided by the applicable Telehealth Partner or provider ("Telehealth Consent"). You agree that Corivo is a third-party beneficiary of the Telehealth Consent and may enforce it. You acknowledge that: a provider may determine, in the provider's sole discretion, that your condition is not suitable for treatment via telehealth or via the Services, and may direct you to in-person or alternative care; telehealth is not a substitute for in-person care in all cases and carries certain risks, including technology failures and limitations of remote evaluation; and you cannot obtain emergency care through the Services. If you are experiencing a medical emergency, call 911.
By using the Services, you consent to receiving disclosures, notices, messages, treatment communications, and other communications from Corivo, the Telehealth Partners, and their affiliated providers electronically, including through your account, email, or text message, and you agree that electronic communications and signatures have the same effect as written ones. It is your responsibility to monitor these communications, and you agree that neither Corivo nor any Telehealth Partner or provider is liable for losses resulting from your failure to read them or to follow treatment recommendations they contain.
5. Coaching Services
Every Corivo membership includes ongoing health coaching delivered through Concorde. Coaching may include goal setting, habit and lifestyle support, educational content, check-ins, and, where included in your membership, live coaching sessions.
Coaching is not medical care. Coaches are not acting as your physician, nurse, therapist, dietitian, or other licensed healthcare provider through the Services, do not diagnose or treat any condition, and do not prescribe, adjust, or advise on medication. Nothing communicated by a coach is medical advice, and coaching does not create a provider-patient relationship with Corivo or Concorde. Always direct clinical questions, including questions about your medication, dosing, or side effects, to your licensed provider.
6. No Insurance; Financial Responsibility
Corivo and the Telehealth Partners' affiliated provider groups do not accept commercial health insurance and are not enrolled in federal or state healthcare programs such as Medicare or Medicaid. By using the Services, you are choosing to purchase the Services on a cash-pay basis outside of any insurance plan or government healthcare program, and you are solely responsible for all fees. If you are a beneficiary of a federal or state healthcare program, you agree that neither you nor Corivo, the Telehealth Partners, nor any provider or pharmacy will submit a claim to any such program for services or products provided through the Services. Corivo is not an insurance company and does not provide health insurance benefits, and Corivo has no obligation to coordinate with your employer or any third party regarding any benefit plan.
7. Pharmacy Services
If a licensed provider issues you a prescription in connection with the Services, it may be fulfilled and shipped by a pharmacy partnered with the applicable Telehealth Partner. You consent to the disclosure of your information, including relevant health information and prescription information, to the fulfilling pharmacy for that purpose. You may generally elect to use a different pharmacy of your choice by contacting support@corivohealth.com or the applicable Telehealth Partner. You acknowledge that medications may not be shipped in child-resistant packaging and that you are responsible for keeping all medications out of the reach of children. Prescription products cannot be returned for reuse or resale.
8. HIPAA Notice
Corivo is not a "covered entity" under the Health Insurance Portability and Accountability Act ("HIPAA"). HIPAA does not necessarily apply to your communications with Corivo simply because health information is involved. To the extent Corivo acts as a "business associate" of a covered entity, and solely in that role, Corivo may be subject to certain HIPAA provisions with respect to protected health information. Health or medical information subject to specific protections under applicable state law will be used and disclosed only in accordance with such laws. Information that does not constitute protected information under applicable law may be used and disclosed as permitted by our Privacy Policy. Protected information does not include information that has been de-identified in accordance with HIPAA.
9. Accounts and Security
You may be required to create an account to use certain parts of the Services. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for logging out at the end of each session. You may not share your account, create more than one account, or use anyone else's account. Notify us immediately at support@corivohealth.com of any unauthorized use of your account or other breach of security. We may suspend or terminate your account if we reasonably suspect your information is inaccurate or your account has been misused, and we disclaim liability for losses arising from your failure to comply with this Section.
10. Membership; Billing; Auto-Renewal; Cancellation
Membership and fees
Corivo memberships are offered for a flat recurring fee, billed at the interval disclosed to you at checkout (for example, monthly). The total price disclosed at checkout may include amounts for the membership, provider consultations, coaching, and, where applicable, prescription products, some of which Corivo collects on behalf of the applicable Telehealth Partner, provider group, or pharmacy; you authorize Corivo to facilitate those payments. Any healthcare or pharmacy services not included in your membership may be charged separately by the applicable provider or pharmacy. Prices are subject to change; we will provide advance notice of any price change to an active membership, and the change will take effect no earlier than your next renewal following notice.
Automatic renewal
YOUR MEMBERSHIP AUTOMATICALLY RENEWS AT THE END OF EACH BILLING PERIOD FOR SUCCESSIVE PERIODS OF THE SAME LENGTH, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT MEMBERSHIP FEE PLUS APPLICABLE TAXES AT EACH RENEWAL, UNLESS AND UNTIL YOU CANCEL. BY ENROLLING, YOU AUTHORIZE CORIVO AND OUR PAYMENT PROCESSORS TO CHARGE YOUR PAYMENT METHOD ON A RECURRING BASIS.
Renewal charges may be processed up to 5 days before the start of the renewal period to ensure continuity of service and shipment timing. If your payment card issuer provides updated card information (such as a new expiration date or card number), you authorize us to update your stored payment details; to opt out of such updates, contact your card issuer.
Cancellation
You may cancel your membership at any time through your online account settings or by emailing support@corivohealth.com. Online cancellation is available through the same online method you used to enroll. Cancellation takes effect at the end of your then-current billing period; you will retain access to your membership benefits through the end of that period, and you will not be charged for subsequent periods. Except as described in these Terms or required by law, fees for the then-current billing period are not refundable.
Refunds
Except as required by law or as expressly stated in a refund policy presented to you through the Services, all fees are non-refundable, including for partially used billing periods, and all sales of prescription products are final. We may issue refunds or credits in our sole discretion on a case-by-case basis, and doing so in one instance does not entitle you to a refund in another.
Payment representations
You represent and warrant that the payment information you provide is true, accurate, and complete; that you are authorized to use the designated payment method; and that you will pay all charges you incur, including applicable taxes. If a payment cannot be processed, we may retry the charge, request an alternative payment method, and suspend or terminate Services until payment is received. Neither Corivo nor the providers have any obligation to provide services until payment has been received and verified. We are not responsible for fees your bank or card issuer may charge, or for unauthorized use of your payment method by third parties.
11. Ownership; License to You
The Services and all of their content, features, and functionality (including software, text, displays, images, video, audio, design, and the selection and arrangement thereof) ("Services Content") are owned by Corivo or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, Corivo grants you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Services and Services Content solely for your personal, non-commercial use. No other rights are granted, and all rights not expressly granted are reserved. The Corivo name, logo, and other Corivo trademarks may not be used without our prior written permission; all other trademarks appearing on the Services are the property of their respective owners.
12. User Content
If you submit or post content through the Services other than information protected under our Privacy Policy or applicable privacy law ("User Content"), you grant Corivo a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, analyze, display, distribute, and otherwise use that User Content for the purposes of providing and improving the Services, conducting research and analytics, and, with your consent where required, marketing. You represent and warrant that you have the rights necessary to grant this license, that your User Content is accurate to the best of your knowledge, and that it does not violate any law or the rights of any third party. Corivo may, but is not obligated to, monitor, preserve, or remove User Content, and may disclose it where permitted by law or as described in our Privacy Policy, including to comply with legal process, enforce these Terms, or protect the rights, property, or safety of Corivo, our members, or the public.
13. Acceptable Use
You agree that you will not, and will not attempt to:
- Use the Services in violation of any applicable law or regulation, or for any fraudulent or harmful purpose, including impersonating any person or misrepresenting your identity, health information, or eligibility.
- Access or use the Services to obtain medication for anyone other than yourself, or resell, transfer, or distribute any medication or product obtained through the Services.
- Reverse engineer, decompile, disassemble, scrape, or use any automated means to access the Services, or circumvent any security or access-control measure.
- Introduce viruses, malware, or other harmful code, or interfere with, disrupt, overburden, or impair the Services or any network or system.
- Copy, reproduce, republish, sell, or commercially exploit the Services or Services Content, or use them to build a competing product or service.
- Post or transmit content that is unlawful, harassing, defamatory, obscene, hateful, or otherwise objectionable as we determine in our sole discretion, or that infringes any third party's rights.
- Harass, abuse, threaten, or harm any coach, provider, or other person involved in delivering the Services.
- Remove or obscure any proprietary notices, or encourage or enable anyone else to do any of the foregoing.
We may investigate suspected violations and may suspend or terminate your access for any violation of this Section.
14. Third-Party Services and Links
The Services may link to or interoperate with third-party websites, applications, and services, including those of the Telehealth Partners, providers, pharmacies, and Concorde. Third-party services are not under Corivo's control, and Corivo is not responsible for their content, availability, or practices. Your use of third-party services is governed by their own terms and privacy policies, which we encourage you to review.
15. Text Messages and Email
By opting in to receive text (SMS) messages from Corivo, or by sending us a text message, you consent to receive text messages relating to your account and use of the Services, which may include enrollment and billing confirmations, coaching reminders, and support messages, as well as marketing messages where you have separately opted in. Consent to marketing texts is not a condition of purchasing any Services. Message and data rates may apply, message frequency varies, and neither Corivo nor the carriers are liable for delayed or undelivered messages. You can opt out of text messages at any time by replying STOP to the applicable message, and out of marketing emails by using the unsubscribe link in any marketing email.
You acknowledge that text messages and email are not encrypted and may be intercepted by third parties, and that if you choose to send or receive health or other sensitive information by text or email, you do so at your own risk. 16. Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CORIVO AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, "RELATED PERSONS"), DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING: (A) THE INFORMATION MADE AVAILABLE THROUGH THE SERVICES BY CORIVO IS NOT MEDICAL ADVICE AND DOES NOT CREATE A PROVIDER-PATIENT RELATIONSHIP BETWEEN YOU AND CORIVO; (B) CORIVO MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING ANY HEALTH OUTCOME, ANY PARTICULAR RESULT, THE QUALIFICATIONS OR QUALITY OF ANY PROVIDER, OR WHETHER ANY PROVIDER WILL ISSUE ANY PRESCRIPTION; AND (C) CORIVO DOES NOT ENDORSE ANY SPECIFIC TREATMENT, MEDICATION, OR PROVIDER, AND IS NOT LIABLE FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON INFORMATION OBTAINED THROUGH THE SERVICES. CORIVO DOES NOT GUARANTEE THE CONTINUED AVAILABILITY OF THE SERVICES OR ANY PART OF THEM AND MAY DISCONTINUE THEM AT ANY TIME, WITH REASONABLE NOTICE WHERE PRACTICABLE SO THAT YOU MAY ARRANGE CONTINUING CARE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CORIVO OR ITS RELATED PERSONS BE LIABLE TO YOU OR ANY THIRD PARTY UNDER ANY LEGAL OR EQUITABLE THEORY (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUE, PROFITS, GOODWILL, USE, OR DATA, SERVICE INTERRUPTION, DEVICE DAMAGE, OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CORIVO AND ITS RELATED PERSONS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS LIMITS ANY LIABILITY OF A LICENSED HEALTHCARE PROVIDER FOR PROFESSIONAL SERVICES RENDERED TO YOU, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE A NEW JERSEY RESIDENT, OR A RESIDENT OF ANOTHER STATE THAT PERMITS THESE EXCLUSIONS AND LIMITATIONS, THEY SPECIFICALLY DO APPLY TO YOU.
18. Indemnification
You agree to indemnify, defend, and hold harmless Corivo and its Related Persons from and against any third-party claims, actions, proceedings, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your fraud, negligence, or willful misconduct.
19. Governing Law; Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND CORIVO TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. BY ENTERING INTO THESE TERMS, YOU AND CORIVO EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
Governing law
These Terms and your use of the Services are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to the arbitration requirement below, exclusive jurisdiction for any dispute not subject to arbitration will lie in the state and federal courts located in Palm Beach County, Florida, and you consent to the jurisdiction of those courts.
Agreement to arbitrate
Except as described under "Exceptions" below, you and Corivo agree that every dispute arising out of or relating to these Terms, the Services, or communications from us will be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms, before a single neutral arbitrator. This agreement to arbitrate covers all claims under any theory of law or equity, whether arising before or after the effective date of these Terms, and any dispute about the interpretation, applicability, or enforceability of this arbitration agreement will be decided by the arbitrator. This arbitration agreement is governed by the Federal Arbitration Act. The AAA Rules are available at www.adr.org.
Exceptions
Nothing in this Section waives, precludes, or limits either party's right to (a) bring an individual action in small claims court; (b) file suit in a court of law to address an intellectual property infringement claim; or (c) seek injunctive or other equitable relief in a court of competent jurisdiction.
Opt-out
You may reject and opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by emailing legal@corivohealth.com with your full legal name, the email address associated with your account, and a statement that you are opting out of arbitration. Opting out of arbitration does not affect any other part of these Terms.
Commencing arbitration
Before initiating arbitration, the party asserting a claim must send a written notice of dispute to the other party describing the nature and basis of the claim and the relief sought. Corivo's notice address is Corivo, LLC, 3608 Spruce Avenue, West Palm Beach, FL 33407, Attention: Legal, with a copy to legal@corivohealth.com. The parties will attempt in good faith to resolve the dispute within thirty (30) days after the notice is received; if they do not, either party may commence arbitration. If you commence arbitration in accordance with these Terms, Corivo will reimburse your AAA filing fee unless your claim exceeds $10,000 or the arbitrator determines your claim is frivolous, in which case fees are allocated under the AAA Rules. Any arbitration hearing will take place in the county of your billing address, and for claims of $10,000 or less you may elect a documents-only, telephonic, video, or in-person proceeding. The arbitrator must issue a reasoned written decision, may award any relief available in court on an individual basis, and judgment on the award may be entered in any court of competent jurisdiction.
No class actions
YOU AND CORIVO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS YOU AND CORIVO AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
Time limit on claims
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM SUBJECT TO ARBITRATION UNDER THESE TERMS MUST BE COMMENCED BY DELIVERY OF A NOTICE OF DISPUTE WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES, OR IT IS FOREVER BARRED.
Severability of this Section
If any part of this Section 19 is found unenforceable, the remainder will remain in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court rather than in arbitration.
20. Termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time and may cancel your membership as described in Section 10. We may suspend or terminate your access to the Services, with or without notice, for any reason, including violation of these Terms. Upon termination, your license to use the Services ends, but any provision that by its nature should survive will survive, including Sections 11, 12, 16, 17, 18, 19, and 21. Termination does not affect any obligation of a provider or Telehealth Partner to provide you access to your health records or continuing care as required by applicable legal, ethical, and professional obligations.
21. Miscellaneous
Changes to these Terms. We may revise these Terms from time to time. Changes are effective upon posting unless applicable law requires additional notice, in which case we will provide it. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to revised Terms, your sole remedy is to stop using the Services and cancel your membership.
Changes to the Services. We may modify, suspend, or discontinue any part of the Services at any time. We will not be liable for any modification, suspension, or discontinuance, though we will endeavor to give reasonable notice of any discontinuation that affects active treatment so you can arrange continuing care.
Entire agreement. These Terms, together with the Privacy Policy and any supplemental terms presented to you, constitute the entire agreement between you and Corivo regarding the Services and supersede all prior agreements on that subject, excluding any separate agreements you enter into with providers, Telehealth Partners, or pharmacies.
No waiver; severability. Our failure to enforce any provision is not a waiver of it. If any provision of these Terms is held invalid or unenforceable, it will be replaced with an enforceable provision that most closely reflects its intent, and the remaining provisions will remain in full force.
Assignment. You may not assign these Terms or any rights under them, and any attempt to do so is void. Corivo may assign these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Corivo, and you may not bind Corivo in any way.
Remedies. You agree that a violation or threatened violation of these Terms may cause Corivo irreparable harm for which monetary damages would be inadequate, and you consent to Corivo seeking injunctive or other equitable relief, in addition to any other remedies available at law or in equity.
Headings. Section headings are for convenience only and do not affect interpretation.
